These Terms & Conditions constitute a legally binding agreement between you ("the Client") and

SellerSmart Ltd, trading as PrepSmart, in respect of the goods and services provided by PrepSmart as a third-party Amazon FBA preparation service.

By engaging our services, you confirm that you have read, understood and agreed to the following terms.

1. Definitions

For the purposes of this Agreement:

• "Client" refers to the individual, sole trader, partnership or limited company engaging the services of PrepSmart.

  • "Goods" means the physical inventory sent by the Client to PrepSmart’s facility for storage, inspection, labelling, processing, and fulfilment.

  • "Services" refers to the range of preparation, storage, handling, fulfilment and support functions offered by PrepSmart, including all supplementary digital tools.

  • "Facility" means the warehouse operated by SellerSmart Ltd for the purpose of fulfilling the Services.

  • "Terms" means the contents of this agreement, including any future amendments.

2. Company Identity

PrepSmart is a trading name of SellerSmart Ltd, a private limited company registered in England and Wales under Company Number 15870357. All contractual, billing, and legal obligations are held with SellerSmart Ltd.

3. Scope of Services

PrepSmart provides the following Services to Clients, including but not limited to:

• Receiving and logging inbound shipments

• Inventory inspection and verification

• FNSKU labelling and compliance preparation

• Polybagging, bubble wrapping, and bundling

• Pick, pack and dispatch for FBA and FBM orders

• Amazon returns handling

• Secure warehousing and short-term storage

• Real-time automation via Google Sheets, webhooks or integrated dashboards

• Custom shipping coordination (box forwarding, pallets, mixed SKUs)

• Support for wholesale, arbitrage and private label inventory

• Onboarding, account support and notification systems

All services are provided at the rates published in our current price list. Clients are required to review and accept these rates before initiating service.

4. Client Responsibilities

The Client agrees to:

• Ensure that all Goods sent to the Facility are accurately described, fully declared, and lawfully acquired.

• Package all items securely to minimise risk of damage during transit or storage.

• Upload accurate SKU data, product descriptions, quantities and shipment details to PrepSmart’s designated system(s) or templates prior to dispatch.

• Notify PrepSmart of any special requirements, hazardous materials, or time-sensitive deliveries in advance.

• Refrain from sending Goods that are illegal, counterfeit, prohibited under Amazon’s terms, or restricted under UK law.

PrepSmart reserves the right to refuse, return, or quarantine any Goods that are improperly declared, unsafe, or breach any applicable laws or policies.

5. Storage Terms

• The first five (5) calendar days of storage per unit or shipment are free, commencing from the date of receipt at our Facility.

• Thereafter, a fee of £30 per cubic metre per calendar month is charged for ongoing storage.

• Goods held in excess of sixty (60) days without instruction or payment may be deemed abandoned and subject to disposal or liquidation.
  

Storage is calculated based on the space physically occupied by the Goods. Storage is charged monthly in arrears and invoiced as part of the standard billing cycle.

6. Returns & Abandonment

• PrepSmart will accept and process Amazon or customer returns where the Client has arranged for Goods to be returned to our Facility.

• Returned Goods will be logged, photographed (if damaged), and visible on the Client’s dashboard or tracking sheet.

• If returned Goods are not claimed or assigned for outbound shipping within sixty (60) days, PrepSmart may dispose of the Goods or sell them to recover unpaid fees.

• Where outstanding invoices remain unpaid for sixty (60) days, we reserve the right to retain, sell or dispose of any Goods belonging to the Client.

The Client accepts that PrepSmart may not hold or store Goods indefinitely and acknowledges that long-term storage must be communicated and agreed in writing.

7. Hazardous and Restricted Goods

PrepSmart accepts hazardous or restricted Goods under the following conditions:

• Items must be declared at the time of booking.

• Relevant safety data sheets (SDS/MSDS), certificates or transport documentation must be supplied in accordance with UK law.

• Goods must comply with Amazon FBA guidelines, Trading Standards, and relevant safety legislation.

PrepSmart reserves the right to reject or return hazardous Goods where documentation is incomplete or where handling may pose undue risk to personnel or property.

8. Liability & Insurance

• SellerSmart Ltd holds a limited warehouse insurance policy to provide basic cover against loss or damage arising from theft, fire or other insurable incidents occurring at our Facility.

• The Client acknowledges that this insurance is limited and agrees to insure their own Goods separately if full coverage is required.

• Our total liability for any loss or damage, whether direct or indirect, is strictly capped at £100 per cubic metre of affected Goods.

• PrepSmart shall not be liable for:

  • Loss of revenue, profit, goodwill or opportunity

• Damages resulting from errors or omissions caused by inaccurate Client instructions

• Any delay, failure or disruption caused by courier partners, carriers or third-party platforms

The Client agrees to indemnify SellerSmart Ltd against any losses, claims or legal expenses arising from the Client’s breach of these Terms or failure to comply with applicable law.

9. Payment Terms

• Invoices are issued weekly or monthly in arrears, depending on service level, and are payable within seven (7) calendar days of the invoice date.

• Accepted payment methods are:

  Stripe

  Major credit or debit card

• PrepSmart reserves the right to suspend or withhold services in the event of late payment.

• A general lien is held over all Goods in our possession until outstanding balances are cleared in full.

• Interest may be charged on overdue balances at a statutory rate as per the Late Payment of Commercial Debts (Interest) Act 1998, currently 8% plus the Bank of England base rate.

10. Pricing and Changes

• All fees are published in an up-to-date, itemised pricing list which is made available to Clients prior to service commencement.

• PrepSmart reserves the right to revise its pricing with a minimum of 14 days’ written notice to the Client, issued via email.

• The Client’s continued use of the Services following such notice constitutes acceptance of the revised pricing.

11. Subcontracting

All prep, fulfilment and customer service activities are conducted in-house by the PrepSmart team. PrepSmart does not subcontract

services to third parties without express written consent from the Client.

12. Termination

• Either party may terminate this agreement by providing written notice.

• All Goods must be collected, or shipping must be arranged, within fourteen (14) calendar days of termination.

• Any unpaid balances must be cleared in full before release of remaining inventory.

• Clauses relating to payment, indemnity, insurance, liability, and governing law shall survive termination.

13. Force Majeure

PrepSmart shall not be liable for any delay or failure in performing its obligations where such delay or failure results from causes outside its reasonable control, including but not limited to: acts of God, war, terrorism, natural disasters, strikes, equipment failure, carrier delays, or governmental actions.

14. Amendments to Terms

These Terms & Conditions may be amended or updated at any time by SellerSmart Ltd. Clients will be given

not less than 14 days’ notice via email before changes come into effect.

Continued use of our Services following the effective date of any update constitutes full acceptance of the amended terms.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. The parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales in relation to any dispute or claim arising under or in connection with these Terms.

16. Communication & Notices

PrepSmart’s primary mode of communication is Discord and email. It is the Client’s responsibility to ensure that current and correct contact details are on file.All formal notices will be deemed to have been received upon dispatch to the Client’s registered email address.

17. Entire Agreement

These Terms, together with our pricing list and any onboarding documents issued to the Client, constitute the

entire agreement between the parties. No other verbal or written communication shall override these Terms unless expressly agreed in writing and signed by both parties.

By using the Services of PrepSmart, you agree to be bound by the above Terms & Conditions.
